What is Independent Legal Advice?

Independent Legal Advice (ILA) is a process where an individual consults a lawyer who is not involved in the main transaction or has no relationship with the other parties involved. The purpose of Independent Legal Advice is to ensure that the individual fully understands their rights, obligations, and the implications of the legal document they are signing, independent of other parties.

When is ILA Required?

  1. Mortgage and Refinancing Transactions:
    • When a spouse or third party is required to guarantee a mortgage or sign a mortgage document.
  2. Family Law Agreements:
    • For prenuptial agreements, cohabitation agreements, separation agreements, and divorce settlements.
  3. Business Transactions:
    • When shareholders or partners are entering into agreements, especially when one party is in a significantly weaker bargaining position.
  4. Estate Planning:
    • For wills, powers of attorney, and other estate planning documents where there might be a potential for undue influence or lack of understanding.
  5. Employment Contracts:
    • When executives or employees are entering into non-compete clauses, severance agreements, or other significant employment agreements.
  6. Ownership Transfer:
    • When a family member, relative, friend or third party transfers their ownership interest in a property for free or for nil consideration, they need Independent Legal Advice to understand their rights and consequences of the transaction.

Importance of ILA

  1. Protects Vulnerable Parties:
    • Ensures that parties fully understand the legal and financial implications of the documents they are signing.
    • Helps prevent exploitation, undue influence, or coercion.
  2. Ensures Informed Consent:
    • Confirms that the individual is signing the document willingly and with full knowledge of its contents and consequences.
  3. Mitigates Conflicts of Interest:
    • By having an independent lawyer, the risk of conflicts of interest is minimized.
  4. Legal Validity:
    • Certain transactions may require ILA for the documents to be legally binding and enforceable.

The ILA Process

  1. Consultation:
    • The individual meets with an independent lawyer who receives and reviews the relevant documents received from the other party’s lawyer.
  2. Explanation:
    • The lawyer explains the contents of the document, the rights and obligations of the individual, and the potential risks and consequences during their meeting.
  3. Assessment:
    • The lawyer assesses whether the individual understands the information provided and is signing voluntarily.
  4. Completion:
    • After the ILA documents are signed, the ILA lawyer provides them to the other party’s lawyer so that the particular transaction, for which ILA was provided, can be completed.
  5. ILA Lawyer’s Fees
    • Either the individual getting the Independent Legal Advice (ILA) pays the ILA Lawyer directly or the other party’s lawyer ads it to their ledger as expense and then pays to the ILA lawyer.
